Direct Inc. – Terms of Service (Lawyer Referral Platform)

Welcome to Direct Inc. (“Direct,” “we,” “us,” or “our”). These Terms of Service (“Terms”) govern your access to and use of our website, mobile applications, and services (collectively, the “Platform”). By using the Platform, you agree to these Terms. If you do not agree, do not use the Platform.
1. What Direct Inc. Does
Direct Inc. operates a lawyer referral and legal matching platform that helps connect consumers with independent, licensed attorneys or law firms.
Direct Inc. is not a law firm and does not provide legal advice. Platform staff are not acting as your lawyer. NYCOURTS.GOV+1
2. No Attorney-Client Relationship With Direct
Using the Platform, submitting information, or receiving a referral does not create an attorney-client relationship between you and Direct Inc.
An attorney-client relationship only forms if and when you and a lawyer you contact agree to it, typically through a written engagement agreement.
3. Eligibility
You must be at least 18 years old and capable of forming a binding contract to use the Platform. By using the Platform, you represent that:
- you meet this requirement, and
- any information you submit is accurate and complete.
4. Referrals and Lawyer Independence
Referrals are provided based on the information you submit and lawyer availability. Attorneys on the Platform are independent professionals and not employees or agents of Direct Inc.
We do not guarantee outcomes, legal results, or the performance of any attorney.
5. No Legal Advice or Guarantees
Information on the Platform is for general informational purposes only and should not be considered legal advice.
You are responsible for choosing whether to contact or hire any referred attorney. Direct Inc. does not guarantee:
- legal outcomes,
- case results,
- attorney availability, or
- suitability for your specific matter.
6. Fees and Payments (If Applicable)
Some services may include:
- a referral or administrative fee,
- consultation fees set by attorneys, or
- other charges shown before you confirm.
All fees will be disclosed at or before checkout. Attorneys may charge their own fees separately.
Direct Inc. does not set or control attorneys’ legal fees. Any legal fees are arranged strictly between you and the attorney.
7. User Responsibilities
You agree not to:
- provide false or misleading information,
- use the Platform to violate any law,
- harass or abuse attorneys or staff,
- interfere with Platform security or functionality,
- scrape, reverse engineer, or copy Platform content.
We may suspend or terminate access for violations.
8. Communications
By using the Platform, you consent to receive communications from Direct Inc., including:
- service updates,
- referral confirmations,
- account notices,
- marketing messages (you may opt out of marketing).
9. Privacy
Your use of the Platform is also governed by our Privacy Policy. We collect and use data to:
- provide referrals,
- improve services,
- comply with legal obligations.
We do not sell your personal data. (A full Privacy Policy can be drafted if you want.)
10. Intellectual Property
All Platform content—logos, text, design, software, and trademarks—belongs to Direct Inc. or licensors and is protected by law. You may not copy or use it without written permission.
11. Third-Party Links
The Platform may include links to third-party sites. We don’t control them and aren’t responsible for their content or policies.
12. Disclaimers
The Platform is provided “as is” and “as available.” Direct Inc. disclaims all warranties to the fullest extent allowed by law, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
13. Limitation of Liability
To the fullest extent allowed by law, Direct Inc. is not liable for:
- indirect, incidental, consequential, or punitive damages,
- legal outcomes or attorney performance,
- delays, interruptions, errors, or data loss.
Your sole remedy is to stop using the Platform.
14. Indemnification
You agree to indemnify and hold Direct Inc. harmless from any claims, damages, liabilities, or expenses arising from:
- your use of the Platform,
- your violation of these Terms,
- disputes between you and any attorney.
15. Governing Law
These Terms are governed by the laws of the State of New York, without regard to conflict-of-law rules.
16. Dispute Resolution / Arbitration (Optional but Standard)
Any dispute arising out of these Terms or the Platform will be resolved by binding arbitration in New York County, New York, except where prohibited by law.
You waive the right to participate in a class action.
Either party may seek temporary injunctive relief in court for misuse of intellectual property or security threats.
17. Changes to These Terms
We may update these Terms at any time. If we do, we will post the revised Terms with a new “Last Updated” date. Continued use means you accept the changes.
